Where our website refers to upcoming seed round investment opportunities these are directed at institutional investors only and does not refer to a specific investment opportunity capable of acceptance. Website subscriptions and waiting list registrations at info@coop.exchange or other similar address merely allow us to share general information on cooperatives, and to assess potential interest in our future services and our overall mission and are not an agreement by us for the person to be included in any investment opportunity.
Scrutiny of institutional investors
Where institutional investors express interest in any seed round or similar opportunity, such interests remain subject to contract and the issue of formal documentation in accordance with the requirements of FMSA, the FPO and/or our own policies and procedures for this purpose. By registering an interest via email at investors@coop.exchange the user confirms and agrees that they: 1) are an institutional investor (as defined in this regulatory notice or which meets FSMA/FPO requirements or equivalent in their territory); 2) will provide us with such additional information as we may reasonably require in order to determine the validity of their confirmation; and 3) they acknowledge that no formal offer or inducement to invest for securities has been made by us.
Each expression of interest made via investors@coop.exchange does not automatically entitled that person to be included in any potential seed round or other investment in Coop Exchange. We reserve the right (without liability or notice) to cancel, postpone, extend, or suspend any seed round opportunity referenced on our website.
Each emailed expression of interest made at investors@coop.exchange is treated by us as having been generated by the sender without inducement or invitation by us, and will be reviewed and assessed by us to determine at our discretion if it meets our institutional investor requirements. These requirements are set out in this regulatory notice (or elsewhere in our policies and procedures in place from time to time and published on our website) and enable us to assess whether we can comply with FSMA and/or the PFO. We reserve the right (without liability or being required to give notice) to remove or exclude from our mailing list or seed round opportunities any person, firm or body who, at our discretion, 1) we have reason to believe or suspect is not (or ceases to be) an institutional investor, 2) we have reason to believe fails to meet any other criteria for ethical investment as we may from time to time stipulate, or 3) they fail to provide (or delay in providing) any additional information which we may reasonably require to help us in our assessment of 1) and 2).
Non-trading Platform:
While our website makes clear our aim to become a regulated trading platform for cooperative securities we are not currently authorised for this purpose. Therefore, please note that neither we nor this website, operates as a trading platform nor does it otherwise facilitate the promotion or dealing in securities or any other financial instruments.
